Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Speakeazy (“Speakeazy,” “we,” “us”) governing your access to and use of the Speakeazy iOS application and the website at speakeazysocial.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must:
- Be at least 21 years old.
- Have the legal capacity to enter a binding contract in your jurisdiction.
- Not be barred from using the Service under applicable law or by a prior action of Speakeazy.
- For posting in age-restricted (21+) venues such as bars: complete ID verification confirming your age.
2. Your account
You sign in with Apple, Google, or an emailed magic link. You are responsible for maintaining the security of the device on which you are signed in, and for all activity that occurs under your account.
You must provide accurate information (real name, real photo, correct date of birth). Creating an account with false identity information, or under someone else's name, is grounds for permanent termination.
You may not have more than one active account. You may not create a new account to evade a suspension or ban.
3. Acceptable use
You agree to use the Service in accordance with our Community Guidelines, which are incorporated by reference into these Terms. In particular, you agree not to:
- Post content that is unlawful, defamatory, harassing, threatening, hateful, or that infringes another person's rights.
- Post sexually explicit content, or content involving nudity or graphic violence.
- Impersonate anyone or misrepresent your affiliation with a person or organization.
- Use the Service to solicit, promote, or facilitate illegal activity.
- Spam, phish, scrape, or bulk-message users.
- Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service.
- Spoof or falsify your location to enter a venue chatroom you are not physically inside.
- Circumvent, disable, or interfere with security-related features.
- Sell, transfer, or grant access to your account.
- Use the Service on behalf of a competitor or to build a competing product.
4. Your content
“Your Content” means text, photos, videos, and other material you submit through the Service. You retain all ownership rights in Your Content.
By posting Your Content, you grant Speakeazy a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and distribute it solely for the purpose of operating and providing the Service (for example, to show your message to other users in the same venue chatroom). This license ends when Your Content is deleted from our systems.
You represent that you own or have the necessary rights to Your Content, and that Your Content does not violate anyone else's rights or applicable law.
We do not pre-screen user content. We may remove any content that violates these Terms or our Community Guidelines, at our discretion, with or without notice.
5. Zero-tolerance content policy
Speakeazy has zero tolerance for objectionable content and abusive behavior. We provide every user with the ability to flag content and block other users. We review reports and act on abusive content within 24 hours, and we may suspend or ban users who violate our Community Guidelines.
6. Third-party services
The Service uses third-party providers for sign-in (Apple, Google), SMS verification (Twilio), identity verification (Persona), venue data (Google Places), email (Resend), and infrastructure (Cloudflare). Your use of those providers' services through Speakeazy is also subject to their terms and privacy policies.
6a. Venue owners and promotions
If you claim a venue, you confirm that you are authorised by the business to act for it. We verify control by sending a one-time code to the venue's publicly listed phone number; requesting that code is your consent to receive it, by text or voice call, at that number. Verification messages are transactional only — no marketing is sent on that number — message frequency varies, message and data rates may apply, and STOP opts out while HELP returns support contact details.
A claimed listing lets you correct your venue's description, hours, website, phone and photo. You are responsible for that content and it is subject to the same Acceptable use rules as everything else here. We may suspend or revoke a claim — which also hides the edits made under it and stops any running promotion — if we believe it was obtained or used improperly.
A promotion is advertising: you pay us to award bonus Real Deal Points to customers who check in at your venue during a set window. Points are not currency, have no cash value, and cannot be redeemed for money. Purchases are non-refundable once points have been awarded, we do not guarantee any number of visits, impressions or ranking, and customers are told the bonus is sponsored by your venue.
7. Termination
You can stop using the Service at any time, and delete your account from Settings. We may suspend or terminate your account, with or without notice, if we believe you have violated these Terms, our Community Guidelines, or applicable law, or if continuing to provide you the Service would create risk to us or other users.
Sections that by their nature should survive termination — including content ownership and licenses, disclaimers, indemnity, limitation of liability, and dispute resolution — survive termination of these Terms.
8. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Speakeazy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content posted by other users is accurate or safe.
You are responsible for your own safety. Speakeazy is a tool for meeting people who happen to be in the same venue you are in. Use judgment. Do not share sensitive personal information with people you don't know. If someone makes you uncomfortable, use the block and report tools immediately.
9. Limitation of liability
To the fullest extent permitted by law, Speakeazy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the greater of one hundred U.S. dollars ($100) or the amount you have paid us in the twelve months preceding the claim.
10. Indemnity
You agree to indemnify and hold harmless Speakeazy, its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of any third party.
11. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to the personal jurisdiction of those courts.
12. Changes to these Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date at the top and, for material changes, notify you in-app or by email. If you continue to use the Service after the changes take effect, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
13. Miscellaneous
These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and Speakeazy regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms; we may assign them to a successor.
